Macrovision, the software licence management and CD copy prevention company, plans to buy installation tools developer InstallShield Software.
Macrovision has offered $76m (£41m) in cash for InstallShield, and may pay a further $20m, depending on the company's future performance, it said. The boards of both companies have agreed to the deal. Macrovision expects to close the sale in the third quarter.

When the deal is complete, Macrovision will incorporate InstallShield into its Software Technologies Group, where it plans to continue development of InstallShield product lines.
Macrovision sees InstallShield's large customer base as an opportunity to spread the use of its Flexnet software licence management system.
The combination of the two companies' products will allow software developers to optimise their revenue and help enterprise customers to manage software licences cost effectively, Macrovision said.
