While CA did not admit to any wrongdoing, the software maker has agreed to pay the government $638,000 (£440,580) as part of the settlement.
The DoJ brought the lawsuit against CA last October, alleging that CA had broken pre-merger waiting period regulations and price-fixing laws in its deal with Platinum announced in March 1999.
The settlement will be finalised after a 60-day public comment period, according to the statement.
CA also announced last week that the government had concluded a two-year investigation into its acquisition of Sterling Software without levying a penalty against CA.
